Agreement to Terms & Corporate Authority
Welcome to Iconic Orbit ("Company," "we," "us," or "our"), a premier international digital engineering and technology agency headquartered in Austin, Texas, USA with primary software engineering and operational centers in Lahore, Pakistan. By browsing our website, initiating a discovery consultation, signing a Statement of Work (SOW), or utilizing any of our digital services (including Custom Web Development, CRM Automations, AI Chatbots, Mobile Applications, and Strategic Digital Marketing), you ("Client," "you," or "your") enter into a legally binding agreement governed by these Terms and Conditions.
If you are entering into this agreement on behalf of a company, corporate enterprise, or legal entity, you represent and warrant that you possess the necessary legal authority to bind said entity to these terms.
Service Deliverables & Statements of Work (SOW)
All professional services delivered by Iconic Orbit are governed by mutually executed Statements of Work (SOW), project proposals, or recurring service level agreements (SLAs). Each SOW explicitly details the project specifications, technical milestones, deliverable assets, and estimated timelines.
While Iconic Orbit commits to the highest engineering standards and timely delivery, estimated timelines are subject to collaborative feedback, third-party API dependencies, and client-side asset approvals.
Billing, Payments & Milestone Invoicing
To maintain dedicated engineering talent and rapid development velocity, project billing follows structured milestones or retainer schedules:
- Project Retainers & Deposits: Custom software, web engineering, and brand projects require an upfront deposit (typically 30% to 50%) prior to sprint kick-off.
- Milestone Payments: Interim invoices are issued upon successful delivery of defined technical phases (e.g., UI/UX Prototype, Core Backend Build, Staging Deployment).
- Net Payment Terms: Standard enterprise invoices are due within seven (7) to fourteen (14) calendar days from issuance unless specified otherwise in the SOW.
- Currency & Gateways: Invoices are denominated in US Dollars (USD), United Arab Emirates Dirhams (AED), British Pounds (GBP), or Pakistani Rupees (PKR) and processed via encrypted corporate gateways (Stripe, direct wire transfer, or corporate ACH).
Scope Revisions & Change Orders
We embrace the dynamic nature of modern business. If the Client requests features, integrations, or structural modifications beyond the agreed SOW during development, Iconic Orbit will issue a formal Change Order outlining:
- The technical requirements of the requested modifications.
- The estimated adjustment to production timelines.
- Any additional billing at our standard hourly engineering rate or fixed add-on fee.
Change orders must be confirmed in writing by the Client prior to technical implementation.
Intellectual Property & Code Ownership
Client Ownership: Upon full and final settlement of all project invoices, complete ownership and intellectual property rights for custom-designed graphics, bespoke codebases, branding marks, and final digital deliverables are transferred exclusively to the Client.
Proprietary Frameworks: Iconic Orbit retains perpetual ownership of pre-existing internal toolkits, proprietary code modules, AI agent libraries, and architectural frameworks utilized to build the solution. The Client is granted a perpetual, royalty-free, non-exclusive license to operate and build upon these integrated modules within their delivered solution.
AI Automation, Large Language Models & Data Privacy
Iconic Orbit engineers advanced generative AI chatbots, workflow automations, and LLM-powered business systems. When deploying AI solutions:
- No Public Model Training: Client proprietary data, customer correspondence, and internal databases connected to Iconic Orbit AI systems are never transmitted to public training pools or used to train third-party foundation models without express written authorization.
- Enterprise Security: All AI API pipelines utilize enterprise tier endpoints with zero data retention protocols (SOC2 / ISO 27001 compliant infrastructure).
- Output Verification: While our AI architectures incorporate rigorous guardrails, generative systems may occasionally output anomalies. Clients retain final review responsibility for high-risk public or regulatory outputs.
Third-Party APIs & Cloud Infrastructure
Modern enterprise applications rely on integrated third-party platforms (including Amazon Web Services, Google Cloud, OpenAI, Stripe, Twilio, and Meta API). Iconic Orbit is not liable for service interruptions, rate-limiting, policy changes, or price adjustments originating directly from third-party platform providers.
Client Responsibilities & Timely Feedback
Premium project execution is a cooperative partnership. The Client agrees to:
- Provide high-resolution brand assets, copywriting, credentials, and API access required for milestone progression.
- Designate a primary project stakeholder authorized to approve milestones and sign off on completed sprints.
- Review staging environments and provide consolidated feedback within five (5) business days of milestone submission.
Non-Disclosure & Trade Secrets (NDA)
Both parties agree to hold all non-public proprietary data, code repositories, financial information, marketing strategies, and operational architectures in strict confidence. Neither party shall disclose Confidential Information to third parties without prior written consent, except to authorized employees or subcontractors bound by equivalent non-disclosure agreements.
Warranties, Maintenance & Limitation of Liability
Standard Warranty Window: All custom web and software builds delivered by Iconic Orbit include a complimentary 30-day post-launch warranty window covering bug resolution and code fixes directly resulting from original SOW deliverables.
Limitation of Liability: To the maximum extent permitted by applicable law, Iconic Orbit shall not be held liable for indirect, incidental, punitive, or consequential damages (including business loss, profit loss, or server downtime). Iconic Orbit's total aggregate liability arising under any project agreement shall not exceed the total fees paid by the Client to Iconic Orbit under the specific SOW during the three (3) months preceding the claim.
Project Cancellation, Termination & Kill Fee
Either party may terminate a project contract with fourteen (14) days written notice. In the event of early termination by the Client without breach by Iconic Orbit:
- The Client shall remit payment for all billable engineering hours and completed milestones accrued up to the date of notice.
- Initial project deposits are non-refundable to cover sprint allocation, infrastructure procurement, and creative discovery reserves.
- Upon receipt of final prorated payment, Iconic Orbit will deliver all completed work-in-progress files and assets to the Client.
Governing Law & Legal Contact
These Terms and Conditions and all associated project agreements are governed by and construed under the laws of the State of Texas, United States, without regard to conflict of law principles. Any dispute or claim arising from these terms shall be settled through binding commercial arbitration in Austin, Texas or through mutually agreed international commercial arbitration forums.
